Licence Agreement
The terms under which your organization installs and uses Ace HR. Written to be read, not to be survived.

1. What this agreement covers
This agreement is between Ace HR(“we”, “us”) and the organization that purchases a licence (“you”). It governs your installation and use of the Ace HR software, including its source code, documentation, and any updates we make available to you.
2. The licence we grant you
On payment of the licence fee we grant you a perpetual, worldwide, non-exclusive licence to install, run, and modify Ace HR for the internal business purposes of your organization. Perpetual means what it says: the licence does not expire, and nothing in the software will stop working because a period elapsed or a payment was not renewed.
The licence covers:
- One production installation for your organization, plus non-production installations (staging, testing, development) for that same organization.
- An unlimited number of employees, administrators, and other users within your organization.
- Modification of the source code for your own use, including work carried out by your own developers or a contractor acting for you.
3. What the licence does not permit
You may not:
- Redistribute, resell, sublicense, publish, or open-source the software or its source code, in whole or in substantial part.
- Operate Ace HR as a hosted or managed service for third parties, or otherwise make it available to organizations other than your own.
- Remove or obscure copyright, licence, or attribution notices in the software.
- Share your licence key or the source code outside your organization and the contractors working on your installation, who are bound by these same restrictions.
If your organization is part of a group with separate legal entities, each entity that runs its own installation needs its own licence. Talk to us — group arrangements are straightforward to sort out.
4. Updates and support
Your licence includes twelve months of version updates and email support from the date of purchase. After that period, continued access to updates and support requires an active renewal.
Renewal is optional. If you do not renew, your licence remains valid and your installation continues to operate indefinitely on the last version you received. You simply stop receiving new releases and support until you choose to renew.
5. Ownership
We retain ownership of the Ace HR software and all intellectual property in it. You own your data, your configuration, and any modifications your organization writes. Nothing in this agreement transfers ownership of the underlying software to you, and nothing gives us any claim over your data.
6. Custom development
Where we build custom features for you under a separate quote, those features are delivered into your licensed installation and are covered by this agreement. Unless the quote says otherwise, we retain the right to incorporate generic improvements arising from that work into the product — we will not incorporate anything specific to your business processes, your data, or your competitive position.
7. Your responsibilities
Because Ace HR runs on your infrastructure, you are responsible for the environment it runs in: server security, network access, TLS certificates, database backups, and compliance with the employment and data protection law that applies to your organization. We can advise, and the installation add-on covers setting this up properly, but the ongoing operation is yours.
8. Warranty and liability
We warrant that the software will perform substantially as described in its documentation. If it does not, tell us and we will fix it or, within thirty days of purchase, refund your licence fee.
Beyond that, the software is provided as is. To the maximum extent permitted by law, our total liability under this agreement is limited to the licence fee you paid, and we are not liable for indirect or consequential loss, including lost profits, lost data, or business interruption. Nothing here limits liability that cannot lawfully be limited.
9. Termination
This licence terminates if you materially breach the restrictions in section 3 and do not remedy the breach within thirty days of us telling you about it. On termination you must stop using the software and destroy your copies of the source code. Your data remains yours and is unaffected.
10. Governing law
This agreement is governed by the laws of Nepal, and the courts of Nepal have exclusive jurisdiction over any dispute arising from it.
